License Agreement
One simple license for the free templates and for Editly CMS. Plain language first, full terms below.
This License Agreement (the “Agreement”) is between you and Editly (“we”, “us”). It covers the free Templates and Editly CMS available at editlycms.com. By downloading or using either of them, you agree to it. If you accept on behalf of a company, you confirm that you can bind that company.

This table is a summary. The numbered sections below are the full terms and take priority.
1. Definitions
- “Templates” are the free HTML and CSS template files you can download from this website.
- “Editly CMS” is the paid software, including updates we release to you. It is sold as a Personal license or a White Label license.
- “Client” is the person or business you build a website for.
- “Template-Based Work” is any website or other work you make from a Template.
- “Licensed Site” is a website, or a Client project, where Editly CMS is installed under a paid license that covers it. A Personal license covers one Licensed Site. A White Label license covers any number.
- “You” means the person or company that downloads or buys from us, and includes a Client when you build for them.
2. Free Templates
We grant you a perpetual, non-exclusive, non-transferable, worldwide license to download, copy and modify the Templates, and to use them to build Template-Based Works for yourself or for Clients. You may do this for personal or commercial purposes, on any number of sites, at no cost. You own the websites you build, but we keep ownership of the Templates themselves.
3. Attribution
Every Template includes a small footer link reading “Template by Editly” that points to https://editlycms.com. You must keep this link visible and unchanged on every site built from a Template.
You may remove the link on a Licensed Site, meaning a site where Editly CMS runs under a valid paid license. Removing the link does not change any other term of this Agreement. On any site without a valid Editly CMS license, the link must stay.
You must also keep any copyright or attribution notices required by third parties, such as those for fonts, images or libraries included in a Template.
4. Editly CMS
When you buy a Personal license for Editly CMS, we grant you a perpetual, non-exclusive, non-transferable license to install and use it on one (1) Licensed Site: your own website or a single Client project. Each additional site needs its own Personal license, or you can buy a White Label license instead. Each Client installation must be owned and operated by that one Client, so you may not run one shared installation for several clients.
White Label license. A White Label license lets you install and use Editly CMS on any number of Licensed Sites, for your own websites and for Client projects, and to remove the Editly branding from the editor and dashboard on those sites. Each Client installation must still be owned and operated by that one Client, and the other limits in this Agreement still apply.
You may modify the source code for use on your Licensed Sites.
5. Permitted Uses
- Use Templates on unlimited sites, including client work.
- Change a Template’s fonts, colors, images, text and code.
- Use Templates with Editly CMS or without it.
- Show sites built from Templates in your portfolio.
- Use Editly CMS on one Licensed Site per Personal license, for personal or commercial work.
- With a White Label license, use Editly CMS on any number of Licensed Sites and remove the Editly branding from the editor and dashboard.
6. Prohibited Uses
You may not do anything with the Templates or Editly CMS that this Agreement does not expressly allow. In particular, you may not:
- resell, share, sublicense or redistribute the Template or Editly CMS files, alone or in any bundle, pack, marketplace, repository or “freebies” site, except as part of a finished website;
- publish a Template unmodified and present it as your own design;
- install Editly CMS on more sites than your license covers, or share your copy or license with others;
- remove or hide Editly branding inside the Editly CMS editor or dashboard, unless you hold a White Label license;
- remove the “Template by Editly” link from a site that has no valid Editly CMS license;
- use Editly CMS or the Templates to run a hosted, multi-tenant or software-as-a-service offering, a website builder, or a template marketplace; or
- use either for anything unlawful, infringing, defamatory or obscene.
7. Ownership and Third Parties
We keep all rights in the Templates and in Editly CMS. This Agreement gives you a license to use them and does not transfer ownership. Rights not expressly granted are reserved.
Some images, fonts, icons or libraries included with a Template may come with their own licenses. Those licenses apply to those items.
8. Warranty and Liability
No warranty. The Templates and Editly CMS are provided “as is”, without warranty of any kind, express or implied, including fitness for a particular purpose and freedom from errors. You use them at your own risk.
Limited liability. To the fullest extent the law allows, we are not liable for indirect, incidental or consequential damages, including lost profits or data, arising from your use of the Templates or Editly CMS. Our total liability is limited to the amount you paid us for Editly CMS, or nothing for the free Templates. Some places do not allow these limits, so they may not apply to you.
9. Term and Termination
This Agreement lasts until it ends. You can end it at any time by deleting the Templates and Editly CMS from your sites and devices. It ends automatically if you break any of its terms. When it ends, you must stop using the Templates and Editly CMS and delete all copies.
10. General
We may update this Agreement. The version on this page when you download or buy applies to you. You may not assign this Agreement without our written consent. If a part of it is found unenforceable, the rest stays in force. If we do not enforce a term, that is not a waiver of it. This is the complete agreement between you and Editly about the Templates and Editly CMS, and the English version is the one that binds. It is governed by the law that applies where Editly is established, and the courts there have jurisdiction over any dispute.
